Terms of Service

1. The Acquisition

"Acquisition" means your purchase of one of the SmartestDesk Bar products: The Outline ($499), The Bank ($899), or The Complete System ($1,299). Each acquisition is a separate license. The Outline does not include The Bank. The Bank does not include The Outline. To receive both, please select The Complete System.

2. License

Upon acquisition, SmartestDesk Bar grants you a personal, non-transferable, non-sublicensable license to access the acquired materials for the access window stated at the time of order — sixty (60) days for The Outline or The Bank alone, ninety (90) days for The Complete System — solely for your own bar examination preparation. The license is not assignable.

3. No Sharing, No Resale

Your access is licensed for individual exam preparation use only. You may not share your access code, your account, or the materials with any other person, whether for compensation or otherwise. Each access code activates on a maximum of two (2) devices. After the second activation, the code cannot be reset or transferred. Per-page watermarking with your name is intended to deter and to trace unauthorized distribution.

4. Refund Policy

All sales are final. Because every acquisition delivers immediate access to proprietary digital materials, no refunds will be issued once your access code has been activated, the materials have been viewed, or any portion has been downloaded. Pre-activation refund requests will be considered on a case-by-case basis and at SmartestDesk Bar's sole discretion. Please choose your acquisition and your devices carefully.

5. Original Work

All substantive content of The Outline and The Bank is original work authored by Richard Glenn Clark and any named contributing authors. No actual NCBE examination items are reproduced. Universal legal references (Federal Rules, statutes, published case law) are drawn from public-domain sources.

6. Independent Publisher; No Endorsement

SmartestDesk Bar is an independent test preparation publisher. SmartestDesk Bar is not endorsed by, affiliated with, or licensed by the American Bar Association (ABA), the National Conference of Bar Examiners (NCBE), or any state bar. MBE® and Multistate Bar Examination® are registered trademarks of NCBE, used here for descriptive purposes only.

7. No Guarantee of Outcome

SmartestDesk Bar makes no guarantee, express or implied, that your acquisition of any product will result in your passing the Multistate Bar Examination or any state bar admission examination. Your performance on the actual examination depends on factors beyond the scope of any preparation product, including the depth of your legal education, your individual study effort, and your performance on the day of the exam.

8. No Legal Advice

The materials are educational in nature and do not constitute legal advice. No attorney-client relationship is created between you and SmartestDesk Bar or any of its authors by your acquisition or use of the materials. If you require legal advice for a specific matter, consult a licensed attorney in your jurisdiction.

9. Limitation of Liability

To the maximum extent permitted by law, SmartestDesk Bar's total liability arising out of or in connection with your acquisition is limited to the price you paid for that acquisition. SmartestDesk Bar is not liable for indirect, consequential, or punitive damages, including but not limited to lost earnings, lost employment opportunities, or delayed bar admission.

10. Termination for Cause

SmartestDesk Bar may terminate your access at any time for material breach of these Terms, including unauthorized sharing or distribution of the materials. Termination for cause forfeits any remaining access without refund.

11. Currency of Materials

SmartestDesk Bar continuously revises the materials to reflect the current NCBE specifications. Subject outlines, content emphasis, and scoring methodology are set by NCBE and are subject to change. We recommend consulting ncbex.org for the most current official information.

12. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be brought in the courts of Shelby County, Tennessee, or the federal courts located in the Western District of Tennessee.

13. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms delivered with your welcome guide, constitute the entire agreement between you and SmartestDesk Bar with respect to your acquisition.
